Non-Disclosure Agreement

Confidentiality Terms

This Non-Disclosure Agreement (the “Agreement”) is entered into by and between HorizonFlare (“Disclosing Party”) and the undersigned individual (“Receiving Party”) for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below.

1. Definition of Confidential Information. For purposes of this Agreement, “Confidential Information” shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged. This includes, but is not limited to, all code, tasks, project details, internal processes, security protocols, and any data related to the cybersecurity and AI project.

2. Obligations of Receiving Party. Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. Receiving Party shall not, without prior written approval of Disclosing Party, use for Receiving Party's own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information.

3. Ownership. All code, documentation, and other materials created by the Receiving Party during the internship (“Work Product”) shall be the sole and exclusive property of the Disclosing Party. The Receiving Party hereby assigns all rights, title, and interest in the Work Product to the Disclosing Party.

4. Term. The confidentiality provisions of this Agreement shall remain in full force and effect at all times, both during and after the term of the internship.

5. Breach. Any breach of this Agreement will result in immediate termination of the internship, a permanent ban from all HorizonFlare platforms, and may be subject to legal action to the fullest extent of the law.
